1. Acceptance of Terms

By accessing and using SoundScript.AI (the "Service"), operated by Envixo Products Studio LLC ("Company", "we", "us", or "our"), you accept and agree to be bound by these Terms of Use. If you do not agree to these terms, please do not use our Service. These terms constitute a legally binding agreement between you and the Company.

2. Eligibility

You must be at least 18 years old to use this Service. By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into this agreement. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

3. Description of Service

SoundScript.AI provides an online audio transcription service that converts audio files to text using artificial intelligence technology powered by OpenAI's Whisper API. The Service includes both free and paid subscription tiers with varying features and limitations.

4. User Accounts

When you create an account with us, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and accept all risks of unauthorized access
• Immediately notify us if you discover or suspect any security breaches
• Not share your account credentials with any third party

We reserve the right to suspend or terminate your account if any information provided is inaccurate, false, or violates these terms.

5. Subscriptions and Payments

Our paid subscription plans are subject to the following terms:

• Free Trial: New subscribers receive a 14-day free trial. You may cancel at any time during the trial period without being charged. The free trial is available once per user.
• Billing: Subscriptions are billed in advance on a monthly or annual basis depending on your selected plan. Your subscription will automatically renew unless canceled before the renewal date.
• Cancellation: You may cancel your subscription at any time through your account dashboard. Upon cancellation, you will continue to have access until the end of your current billing period. No refunds will be provided for partial billing periods.
• Price Changes: We reserve the right to adjust pricing at any time. Any price changes will be communicated to you in advance and will apply to subsequent billing periods.
• Refunds: Payments are generally non-refundable. However, you may request a refund within 7 days of your initial subscription purchase if you are unsatisfied with the Service.

6. User Responsibilities and Acceptable Use

You agree to use the Service only for lawful purposes. You must not:

• Upload audio files you do not have the right to use or that infringe third-party rights
• Upload content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
• Attempt to abuse, overload, or disrupt the Service or its infrastructure
• Use the Service to process content that violates any applicable law or regulation
• Attempt to reverse engineer, decompile, or disassemble any part of the Service
• Use automated systems or bots to access the Service without our written permission
• Circumvent any rate limiting or security measures implemented by the Service
• Resell or redistribute the Service without our express written consent

7. Intellectual Property

You retain all ownership rights to the audio files you upload and the resulting transcriptions. SoundScript.AI does not claim ownership of your content. By using the Service, you grant us a limited, non-exclusive license to process your audio files solely for the purpose of providing the transcription service. The SoundScript.AI name, logo, and all related marks are trademarks of Envixo Products Studio LLC.

8. Copyright and DMCA

We respect the intellectual property rights of others. If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement, please provide our Copyright Agent with the following information: (1) a description of the copyrighted work; (2) a description of where the allegedly infringing material is located; (3) your contact information; (4) a statement that you have a good faith belief that the use is not authorized; (5) a statement under penalty of perjury that the information is accurate; and (6) your physical or electronic signature.

9. Third-Party Services

The Service integrates with third-party services including OpenAI (for audio transcription processing), Stripe (for payment processing), Cloudflare (for security and performance), and Google Analytics (for usage analytics). Your use of the Service is also subject to the terms and privacy policies of these third-party providers.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY TRANSCRIPTION RESULTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENVIXO PRODUCTS STUDIO LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless Envixo Products Studio LLC and its officers, directors, employees, contractors, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these terms, or your violation of any rights of a third party.

13. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to breach of these terms. Upon termination, your right to use the Service will immediately cease. All provisions of these terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Governing Law and Jurisdiction

These terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in San Francisco County, California for the resolution of any disputes arising out of or relating to these terms or the Service.

15. Dispute Resolution

Any dispute arising from these terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, either party may initiate binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in San Francisco, California. YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

16. General Provisions

• Severability: If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
• Waiver: Our failure to enforce any right or provision of these terms will not be considered a waiver of those rights.
• Entire Agreement: These terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.
• Assignment: You may not assign or transfer these terms without our prior written consent. We may assign our rights and obligations without restriction.

17. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of any material changes by posting the new terms on this page and updating the "Last updated" date.
